NO PURCHASE OR PAYMENT NECESSARY TO ENTER OR WIN
OPEN TO RESIDENTS OF CANADA (EXCLUDING QUEBEC), 18 YEARS OF AGE AND OLDER ONLY

1. Sponsorship and Eligibility

This sweepstakes is sponsored by Quest Nutrition, LLC, 2221 Park Place, El Segundo, CA 90245 (“Quest”).  There is no purchase necessary to enter or win.  This sweepstakes is open to legal residents of Canada (excluding Quebec) who are eighteen (18) years of age or older at the time of entry; however, the sweepstakes is void where prohibited by law. If any winner is deemed a minor in the state or country of his/her residence, the winner will need parental consent in order enter the sweepstakes and to be awarded a prize, or the prize may be awarded to his/her parent/legal guardian (as determined by Quest in its sole discretion).  Quest reserves the right to request proof of age or identity. Employees of Quest and its affiliates, licensees, franchisees, advertising and promotional agencies and the immediate family members are not eligible.  Immediate family members are a person’s parents, siblings and children.  Participants in the sweepstakes agree that they have read, understood and accepted these Official Rules and agree to be bound by them, including all eligibility requirements and decisions of Quest. Quest reserves the right to revise any and all aspects of the sweepstakes and these Official Rules at any time with or without notice to entrants.

2. Qualification Period

The period for submitting entries for the sweepstakes begins at 12:00 AM (Pacific Daylight Time-California) on November 29, 2016 and ends at 11:59 PM (Pacific Daylight Time-California) on December 12, 2016.  This time period is called the “qualification period” or the “entry period.”

3. Entry Procedures

To enter the sweepstakes, post a photo of yourself next to the Quest “World’s Most Loved Protein Bar” retail display stand at participating Popeye’s store locations in Canada on Twitter or Instagram using “#MyQuest.”

After you have completed the entry steps, this will automatically give you an eligible entry in the sweepstakes.

4. Duties of Participants; Limitation of Liability

By entering, participants agree to be bound by these rules and the decisions of Quest which shall be final and binding.  All applicable laws apply.  Quest and the employees, officers, directors, shareholders, agents, and representatives of  Quest and its affiliates, subsidiaries, and advertising, promotion and legal advisors are not responsible for and shall not be liable for: (i) late, lost, delayed, damaged, misdirected, incomplete, illegible, or unintelligible entries; (ii) telephone, electronic, hardware, or software program, network, Internet, web site, social media platform or computer malfunctions, failures, or difficulties; (iii) errors in transmission or reception; (iv) any condition caused by events beyond the control of Quest that may cause the sweepstakes to be disrupted or interrupted; (v) any injuries, losses, or damages of any kind caused by a prize or resulting from acceptance, possession, or use of a prize, or from participation in the sweepstakes; (vi) errors in these official rules or their interpretation or enforcement; or (vii) any printing or typographical errors in any materials associated with the sweepstakes.  By participating in the sweepstakes, entrants (or entrant’s parent/legal guardian if any entrant is deemed a minor in the state/province or country of his/her residence) agree to release and agree to indemnify, defend and hold harmless Quest and the employees, officers, directors, shareholders, agents, and representatives of Quest and its affiliates, subsidiaries, and advertising, promotion and legal advisors, as well as Instagram and Twitter (collectively, the “Released Parties”) from and against any and all claims, demands, losses, or cause of action for any damages (including, without limitation, all consequential, punitive, and incidental damages), liability, loss, cost, fees (including attorneys’ fees), including, but not limited to, personal injury, death, or damage to or loss of property, arising out of participation in the sweepstakes or receipt or use or misuse of any prize, and for claims based on publicity rights and intellectual property rights, defamation or invasion of privacy.  Quest makes no warranty, representation or guarantee of any kind, express or implied, in fact or in law relating to any prize. This sweepstakes is not sponsored or endorsed by, or affiliated with Instagram or Twitter.  If, in Quest’s opinion, there is any suspected evidence of tampering with any portion of the sweepstakes, or if technical difficulties compromise the integrity of the sweepstakes, Quest reserves the right to modify, cancel, suspend or terminate the sweepstakes in whole or in part, at Quest’s sole discretion, including, without limitation, revoking any entrant’s entry into the sweepstakes and/or revoking any winner’s prize award.

5. Governing Law; Disputes

Any dispute arising out of or relating to these official rules or this sweepstakes shall be resolved by binding arbitration in accordance with the then current rules of the Judicial Arbitration and Mediation Service.  The place of any arbitration shall be Los Angeles, California.  Any issues or questions of construction, interpretation, validity, or enforceability of these rules, or the rights and obligations of the entrant and/or Quest in connection with the sweepstakes shall be governed by, construed and interpreted in accordance with the laws of the State of California, without giving effect to any choice of law or conflict of law rule which would cause the application of the laws of any jurisdiction other than the State of California.

6. Violation of Sweepstakes Rules

Quest reserves the right, in its sole discretion, to (a) void any and all entries of an entrant who Quest believes has attempted to tamper with or impair the administration, security, or fairness of the sweepstakes, and/or (b) disqualify any participant or winner who, in its sole determination, tampers with the entry process, submits more than a single entry or violates these official rules.

7. Selection of Winners; Chances of Winning

One winner will be randomly selected at 12:00 PM (Pacific Daylight Time-California) on December 13, 2016, from among all eligible entries received.  Odds of winning depend on the total number of entries received once the entry period begins.

8. Description of Prizes

The sweepstakes will be for the following: Total of one (1) prize package.

The winner shall receive the following:

1) One (1) Delta Airlines airfare voucher (approximate retail value $1,000);

2) One (1) GoPro Hero Session Camera (approximate retail value $200);

3) One (1) Herschel Supply backpack (approximate retail value $150);

4) Three (3) boxes of Chocolate Chip Cookie Dough Quest Bars (approximate retail value $75);

5) One (1) pair of Quest crew socks (approximate retail value $13);

6) One (1) Quest Nutrition water bottle (approximate retail value $12);

7) One (1) pair of Quest Nutrition sunglasses (approximate retail value $9);

8) One (1) Black “Never Done” Quest wristband (approximate retail value $1.70); and

9) One (1) Blue #OnAQuest Quest wristband (approximate retail value $1.20).

9. Special Rules for Canada Residents:

If you are a potential winner you will be required to correctly answer, without assistance of any kind, whether mechanical or otherwise, a time-limited mathematical skill-testing question to be administered by either telephone or e-mail. If you answer the skill-testing question incorrectly, as determined by us in our sole discretion, you will be disqualified and, at our discretion, an alternate winner shall be chosen from among all remaining eligible entries.

10. Notification of Winners; Substitution of Prizes

Winner will be notified by message via the social media platform they entered through at 12:00 PM (Pacific Daylight Time-California) on December 13, 2016 that they are the winner.  Quest reserves the right to use additional means to contact winner, at its sole discretion.  Winner may not substitute or transfer prizes.  Quest reserves the right to substitute a prize of equal or greater value in the event a prize is unavailable.  Prizes are not redeemable for cash.  All taxes on prize are winner’s responsibility.  Prizes may be subject to reporting for tax and other purposes. Winners should consult their tax advisers with respect to any applicable taxes relating to any prize.  Limit: one prize per household.

11. Permissions

Except where prohibited by law, entry constitutes permission to use winners’ names, hometown cities and states, voices and likenesses for online posting, and/or any advertising and publicity in any form without additional compensation.  Nothing shall obligate Quest to so use or engage in any of the above.  Winners (or winner’s parent/legal guardian if any winner is deemed a minor in the state/province or country of his/her residence) may also be required to sign and return a release of liability, declaration of eligibility and, where lawful, a publicity consent agreement, as conditions of receiving a prize.  Failure to comply with the aforementioned conditions shall be grounds for forfeiture of a prize.  In such a case, an alternate winner will be selected at random from the eligible entries.

12. Privacy.

Subject to applicable privacy laws, all entry information collected may be used for Quest’s internal purposes and to send information to entrants about Quest’s products, services, and promotions but will not be provided or sold to third parties, except as necessary for the administration of the sweepstakes or legal procedure.  Entrants will always have the opportunity to opt out of receiving promotional emails from Quest.  By entering, entrants (or entrant’s parent/legal guardian if any entrant is deemed a minor in the state/province or country of his/her residence) agree to these Official Rules in addition to the “Privacy Policy / Terms of Use” of Quest which are found at the following URL: http://www.questnutrition.com/privacy-policy/.

13. Severability

If any provision(s) of these Official Rules are held to be invalid or unenforceable, all remaining provisions hereof will remain in full force and effect.
